Where is a company incorporated?
Enter a ticker to see the state or country where the company’s charter was filed, next to where its head office actually is. Both come from the cover of its latest periodic report, and a company that has moved since its last annual report is shown as a reincorporation. The two are often different places, and neither tells you where the business earns its money.

What does “state of incorporation” mean?
It is the jurisdiction whose corporate law the company was formed under: where its charter, or articles of incorporation, was filed. That law governs shareholder rights, board duties and how disputes are decided. It is a legal home, and it is often not where the company has its offices.
Why are so many US companies incorporated in Delaware?
Delaware has a large, settled body of corporate case law and a specialist business court, which makes outcomes more predictable for boards and investors. A company can be incorporated there while having no office in the state. On this page the Delaware share is counted from filings, not assumed.
Where does this information come from?
From the cover page of the company’s latest periodic report (10-K, 10-Q, 20-F or 40-F), where the company itself tags its incorporation code. We also read the annual report before it, so a reincorporation shows as a change rather than a silent overwrite, and we cross-check the separate field EDGAR keeps in its company directory, naming its value whenever it differs.
Why do EDGAR’s directory and the filing sometimes disagree?
They are separate records, and either can be the one out of date. Around a reincorporation the directory can move first: when Dell moved from Delaware to Texas in 2026, the directory said Texas while its annual report still said Delaware, until the next quarterly report caught up. It can also lag for years: Super Micro’s directory entry still says California while every recent filing says Delaware. We show the company’s most recent filing and list every disagreement by name.
Does incorporation tell me where the company does business?
No. A Cayman Islands or Irish incorporation says where the legal entity was formed, not where the company operates, employs people or earns revenue. No filing cover states that, so this tool does not claim it.
