Every share-offering pricing filed with the SEC in the past 30 days, day by day — and below it, the registrations that haven’t priced yet. Past-only by design: upcoming offerings don’t exist until the company files, and when it files, this page and the offering checker pick it up within minutes.
Priced is a 424B: shares actually sold. Registered is an S-1 or S-3: capacity to sell, not a sale. A registration with no 424B behind it is the closest honest thing to an “upcoming” list, which is why both lanes share one grid instead of one being buried under the other.

When a company puts offering language in an 8-K, how long until a 424B pricing actually hits EDGAR? Median this window: 13.4h across 6completed pairs. Both ends of every pair are EDGAR’s own acceptance instants, not our estimates.

442 companies used offering language in an 8-K this window. 367 have no pricing on the calendar yet; they are counted, not averaged in as anything. For 19, the 424B was accepted before the 8-K (the press release followed the prospectus); those are excluded from the median. 239 announcement hits beyond our search cap were not examined. The pricing side inherits this calendar’s exclusions. Announced does not obligate a company to price, and a pairing by filing sequence is not proof the two documents describe the same transaction: each row links both filings so you can check.
Window 2026-08-16 → 2026-09-15. Rebuilt every 5 minutes from SEC EDGAR full-text search, plus EDGAR’s live filing feed for anything filed in the last few hours, which is where the “just now” and “12m ago” stamps come from. Rows without a stamp came from the full-text index, which reports a date and no time. Excluded as disclosed: 424B2 structured-note filings; 110 filings from companies without a listed ticker. Why is there no "upcoming offerings" list?
Because no honest one can exist. Offerings are announced and priced at the company’s discretion, usually overnight. The closest legitimate signal is a fresh registration that has not priced yet — that is the second lane on this page — plus watchlist alerts the moment a pricing document hits EDGAR.
What is filtered out, exactly?
Three things, all disclosed: 424B2 filings (large banks file dozens per day for structured notes, which are not share offerings in the dilution sense); filers with more than 8 pricings in 30 days (notes desks, listed at the bottom when present); and filers with no listed ticker in EDGAR’s records.
How fast does pricing follow an announcement?
Measured on this page, not guessed: for companies that put offering language in an 8-K and then filed a 424B pricing, the latency table shows the gap between the two filings using EDGAR’s own acceptance timestamps, plus the median. Announcements with no pricing yet are counted separately rather than averaged in, and an announcement never obligates a company to price at all.
Does every 424B here mean shares were sold?
No — a 424B can price shares or notes, and EDGAR metadata alone does not say which. Small-cap 424B5s are usually equity; investment-grade filers are often debt. Every row links to the actual document.
