Item 2 — UNREGISTERED SALES OF EQUITY SECURITIES (c) Purchases of Equity Securities by the Issuer On May 31, 2022, the Company announced that its Board of Directors approved a 2022 share repurchase program, authorizing the Company to purchase up to $12.5 million of the Company's Common Stock. Share repurchases were made at management’s discretion from time to time on the open market transactions. The repurchase program was completed during the first quarter of 2023. On January 25, 2023, the Company announced that its Board of Directors approved a new 2023 share repurchase program authorizing the Company to purchase up to $12.5 million of the Company's Common Stock. Share repurchases may be made at management’s discretion from time to time on the open market transactions.
