Item 3. Legal Proceedings.
In connection with the Business Combination, two
of our purported shareholders have sent demand letters requesting that we provide additional disclosures in an amendment to the registration
statement filed in connection with the Business Combination. Due to the termination of Merger Agreement with WaveTech, the demand letters
are no longer applicable. There is no material litigation, arbitration or governmental proceeding currently pending against us or any
members of our management team in their capacity as such or against any of our property.
