ITEM 2. PROPERTIES
We currently maintain our
executive offices at 228 Hamilton Avenue, 3 rd Floor, Palo Alto, California 94301. The cost for this space is included
in the $25,000 per month fee. Pursuant to an administrative services agreement, dated December 22, 2025, between us and the sponsor, until
the completion of our initial business combination or liquidation, we will pay a monthly fee of $25,000 to our sponsor for office space
and administrative and support services.
ITEM 3. LEGAL PROCEEDINGS
There is no material litigation,
arbitration or governmental proceeding currently pending against us or any members of our management team.
