Our executive offices are
located at 1000 Brickell Avenue, Ste 715 PMB 5203, Miami, Florida 33131, and our telephone number is (305) 209-7579. The cost for our
use of this space is included in the $25,000 per month fee we pay to our Sponsor for certain office
space, utilities and secretarial and administrative support , pursuant to the Administrative Services Agreement. We consider our
current office space adequate for our current operations.
Item 3. Legal Proceedings.
To the knowledge of our Management
Team, there is no material legal proceedings currently pending or contemplated against us, any of our officers or directors in their capacity
as such or against any of our property.
