Item 1A. Risk Factors
Item 1A. Risk Factors.
An investment in our securities involves various risks. You should consider carefully all of the risk factors described in our 2025 Form 10-K, Part I, under the heading “Item 1A. Risk Factors” as supplemented by the below, as well as the risk factors described in our definitive proxy statement on Schedule 14A filed with the SEC on July 13, 2026 and Form S-4 registration statement filed with the SEC on July 6, 2026 and amended on July 17, 2026, and other information included and incorporated by reference in this report. As of September 30, 2026, there have been no material changes in our assessment of our risk factors from the aforementioned.
Changes in trade policy and uncertainties related to tariffs could adversely affect our business .
Tariffs imposed by the United States and retaliatory measures from other countries have and may continue to lead to higher prices for, or reduced availability of, raw materials and finished goods in our supply chain. Further, these actions have and may continue to create uncertainty in financial markets, impact capital spending, and result in operational disruptions, inflation and diminished profitability. The imposition of additional tariffs on a broader range of imports or at higher rates could increase costs in our supply chain, dilute our margins and/or reduce demand for our products and services, all of which could adversely affect our results of operations. The unpredictable nature of tariff changes and trade restrictions makes it difficult to anticipate and mitigate risks, which could materially affect our business operations, financial condition, and results of operations.
