Report on Form 10-Q, we carried out an evaluation, under the supervision and with the participation of the Company’s management,
including our Chief Executive Officer and Chief Financial Officer, of the effectiveness of the design and operation of our disclosure
controls and procedures pursuant to Exchange Act Rule 13a-15. Based upon this evaluation, the Chief Executive Officer and Chief Financial
Officer each concluded that our disclosure controls and procedures were effective to provide reasonable assurance that information required
to be disclosed by us in the reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within
the time periods specified by the SEC’s rules and forms, and that such information has been accumulated and communicated to our
management, including our Chief Executive Officer and Chief Financial Officer, in a manner that allows timely decisions regarding required
disclosure.

There have been no changes in our internal control
over financial reporting identified in connection with the evaluation that occurred during the quarter ended September 30, 2025 that have
materially affected, or are reasonably likely to materially affect, the internal control over financial reporting.
