Item 1. Legal Proceedings There are no pending legal proceedings to which the Company or any of its subsidiaries is a party or of which any of their property is the subject. As disclosed in Amendment No. 1 to the Company’s Registration Statement on Form S-4, filed with the SEC on April 1, 2022, on March 8, 2022, in connection with the proposed business combination with Senti, a purported shareholder of the Company sent a demand letter to the Company’s and Senti’s counsel, alleging that the Registration Statement on Form S-4 filed with the SEC by the Company on February 14, 2022 omitted material information with respect to the proposed business combination, and demanding that the Company and its board of directors immediately make certain supplemental corrective disclosures to address the alleged deficiencies. The Company believes that the claims described in the demand letter are without merit.
