Item 5. Other Information Rule 10b5-1 Plan Election On August 21, 2023 , Steven B. Tanger , Executive Chair of the Company’s Board of Directors, adopted a Rule 10b5-1 trading arrangement (as such term is defined in Item 408 of Regulation S-K), with a trading plan effective date of November 21, 2023, that is intended to satisfy the affirmative defense of Rule 10b5-1(c) for the sale of up to 300,000 shares of the Company’s common stock until November 15, 2024.
