and administrative proceedings, and other actions not deemed material are not expected to have a material adverse effect on our financial
condition, results of operations, or cash flows. To our knowledge, there is no material litigation against any of our officers or directors
in their capacity as such, and no such litigation is contemplated by any governmental authorities.
