Our executive offices are located at 205 West 28th Street, 2nd Floor
Suite C, New York, New York 10001, and our telephone number is 315-810-1230. The cost for our use of this space is included in the $12,500
per month fee we pay to an affiliate of our Sponsor for certain office space, utilities and secretarial and administrative support, pursuant
to the Administrative Services Agreement; upon completion of our initial Business Combination or our liquidation, we will cease paying
these monthly fees. We consider our current office space adequate for our current operations.
Item 3. Legal Proceedings.
To the knowledge of our Management Team, there is no material litigation
currently pending or contemplated against us, any of our officers or directors in their capacity as such or against any of our property.
