We initiated
a private placement for shares of our common stock in March 2020 (the 2020 Placement). Since March 2020, to date, we have sold
962,387 shares of our common stock at a purchase price of $2.87 per share in the 2020 Placement, which has resulted in gross proceeds
to us of approximately $2.8 million.
In February
2021, we issued $1.1 million aggregate principal amount of convertible promissory notes.
