Item 3 Legal Proceedings The Company is involved in legal proceedings and litigation arising in the ordinary course of business. In the opinion of management, the outcome of such proceedings and litigation currently pending will not materially affect the Company’s consolidated operations, cash flows or financial condition. Information About Our Executive Officers Certain information relating to executive officers of the Company is as follows: Jeffrey M. Stutz Interim Chief Executive Officer Age 55, elected as an executive officer in 2009 Kevin J. Veltman Chief Financial Officer Age 51, elected as an executive officer in 2025 John P. Michael President, North America Contract Age 64, elected as an executive officer in 2020 Debbie F. Propst President, Global Retail Age 45, elected as an executive officer in 2020 Jacqueline H. Rice Chief Legal Officer and Corporate Secretary Age 54, elected as an executive officer in 2019 B. Ben Watson Chief Creative Officer Age 61, elected as an executive officer in 2010 Except as discussed below, each of the named officers has served the Company in an executive position for more than five years. Mr. Veltman began serving as Interim Chief Financial Officer on September 8, 2025, and was appointed Chief Financial Officer effective October 16, 2025. He served as Senior Vice President, Finance – North America Contract from June 2023 until he assumed the role of Interim CFO. Prior to that, he served as Senior Vice President – Integration Lead from May 2021 through June 2023. He first joined the Company in October 2014 as Vice President – FP&A, Investor Relations, and Treasurer and was promoted to Vice President – Corporate Finance & Treasurer in May 2020. There are no family relationships between or among the above-named executive officers.
