ITEM 2. PROPERTIES In 2019, Brigadier purchased its office facility and land located in Saskatoon for $0.6 million through cash and a loan. The bank loan matured and was paid off in July 2024. The Company does not own any other plants or real property. Facilities The Company’s administrative offices are located in the facility leased by Original Sprout, whose mailing address is 120 Calle Iglesia, San Clemente, California 92672. Brigadier owns its land and buildings in Saskatoon and rents facilities in Regina, Canada. Gourmet Foods rents facilities in Tauranga and in Napier, New Zealand. USCF Investments leases office space in Walnut Creek, California. Marygold US shares office space with USCF Investments in Walnut Creek, California. Marygold UK rents office space in London and Staffordshire, England. Brigadier was sold to a related party on July 1, 2025 (see “Certain Recent Developments – Sale of Brigadier” and Note 16. Subsequent Events to the audited consolidated financial statements in this Form 10-K).
