Our
executive offices are located at 180 Grand Avenue, Suite 1530, Oakland CA 94612, and our telephone number is (510) 692-9600. The cost
for our use of this space is included in the $12,500 per month fee we pay to an affiliate of our Sponsor for office space and secretarial
and administrative support services, pursuant to the Administrative Services Agreement; upon completion of our initial Business Combination
or our liquidation, we will cease paying these monthly fees. We consider our current office space adequate for our current operations.

To
the knowledge of our Management Team, there is no material litigation currently pending or contemplated against us, any of our officers
or directors in their capacity as such or against any of our property.
