Evaluation of Disclosure Controls and Procedures
Our disclosure controls and procedures (as defined in Rules 13a-15(e) and 15d-15(e) under the Securities Exchange Act of 1934, as amended) are designed to ensure that information required to be disclosed in the reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in the rules and forms of the Securities and Exchange Commission and to ensure that information required to be disclosed is accumulated and communicated to management, including our principal executive officer and principal financial officer, to allow timely decisions regarding disclosure. The Chief Executive Officer and the Chief Financial Officer have reviewed the design and effectiveness of our disclosure controls and procedures as of December 31, 2024 and, based on their evaluation, have concluded that the disclosure controls and procedures were effective as of such date.
Management’s Annual Report on Internal Control over Financial Reporting
Management of Globus is responsible for establishing and maintaining adequate internal control over financial reporting, as defined in Rule 13a-15(f) and Rule 15d-15(f) under the Exchange Act. Internal control over financial reporting is a process designed to provide reasonable, but not absolute, assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with accounting principles generally accepted in the United States of America. A company’s internal control over financial reporting includes those policies and procedures that pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the Company; provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial statements in accordance with accounting principles generally accepted in the United States of America, and that receipts and expenditures of the Company are being made only in accordance with authorizations of management and directors of the Company; and provide reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use, or disposition of the Company’s assets that could have a material effect on the financial statements.
Because of its inherent limitations, internal control over financial reporting may not prevent or detect misstatements. Also, projections of any evaluation of effectiveness to future periods are subject to the risk that controls may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate.
Management evaluated the internal control over financial reporting of Globus as of December 31, 2024. In making this assessment, management used the criteria set forth by the Committee of Sponsoring Organizations of the Treadway Commission in Internal Control-Integrated Framework (2013) (“COSO”).
Based on the foregoing and as a result of this assessment and based on the criteria in the COSO framework, management has concluded that, as of December 31, 2024, the internal control over financial reporting of Globus was effective.

Item 9B. Other Information
On February 18, 2024, the Company adopted an updated insider trading policy (the “ Insider Trading Policy ”) in order to facilitate the mitigation of insider trading risks within the Company. The Insider Trading Policy applies to all transactions in the Company’s securities by the Company’s employees, officers, directors and consultants, as well as members of their immediate families and members of their households and was designed to promote compliance with insider trading laws, rules and regulations, and listing standards applicable to the Company. A copy of the Insider Trading Policy is filed as Exhibit 19.1 to this Annual Report on 10-K.

During the three months ended December 31, 2024, several of the Company's directors and officers adopted, modified or terminated a “Rule 10b5- 1 trading arrangement” or a “non-Rule 10b5- 1 trading arrangement” as each term is defined under Item 408 of Regulation S-K.
On November 11, 2024 , Ann D. Rhoads , Director , adopted a trading arrangement for the sale of securities of the Company’s Class A Common that is intended to satisfy the affirmative defense conditions of Securities Exchange Act Rule 10b5-1(c) (a “Rule 10b5-1 Trading Plan”). Ms. Rhoads’ Rule 10b5-1 Trading Plan, which has a term ending upon the earlier of February 28, 2026, or the sale of all shares subject to the plan, provides for the sale of up to 27,500 shares of Class A Common pursuant to the terms of the plan.
On December 10, 2024 , Daniel T. Scavilla , the Company’s President and Chief Executive Officer , adopted a Rule 10b5-1 Trading Plan for the sale of securities of the Company’s Class A Common. Mr. Scavilla’s Rule 10b5-1 Trading Plan, which has a term ending upon the earlier of December 31, 2025, or the sale of all shares subject to the plan, provided for the sale of up to 80,000 shares of Class A Common pursuant to the terms of the plan.
On December 4, 2024 , Kelly Huller , Executive Vice President and General Counsel , adopted a Rule 10b5-1 Trading Plan for the sale of securities of the Company’s Class A Common. Ms. Kelly’s Rule 10b5-1 Trading Plan, which has a term ending upon the earlier of December 31, 2025, or the sale of all shares subject to the plan, provided for the sale of up to 37,500 shares of Class A Common pursuant to the terms of the plan.
