We evaluated the effectiveness of our disclosure controls and procedures as of March 31, 2021. Disclosure controls and procedures include, without limitation, controls and procedures that are designed to ensure that the information we are required to disclose in reports that we file under the Securities Exchange Act of 1934, as amended, is recorded, processed, summarized and reported within the time periods specified in the SEC’s rules and forms and that such information is accumulated and communicated to our management, including our Chief Executive Officer ( CEO ) and Chief Financial Officer ( CFO ), to allow timely decisions regarding required disclosure. Our CEO and CFO participated in this evaluation and concluded that, as of March 31, 2021, our disclosure controls and procedures were effective.
There were no changes in our internal control over financial reporting for the quarter ended March 31, 2021, that have materially affected or are reasonably likely to materially affect our internal control over financial reporting.
