ITEM 3. Legal Proceedings   As noted under Item 1A, Risk Factors, third parties have the ability to file litigation challenging government approvals related to our property.  On March 23, 2021, two lawsuits were filed by The Native American Land Conservancy/National Park Conservation Association and Center for Biological Diversity/Defenders of Wildlife/Sierra Club against the United States Department of Interior, BLM and agency decision makers in United States District Court for the Central District of California.  The lawsuits allege violations of various regulations in the BLM grants to our subsidiary, Cadiz Real Estate LLC, of two right-of-way permits that now enable us to transport water through the entire Northern Pipeline over BLM-managed lands and seek to vacate the permits and require additional federal review.  We are not a named party to these lawsuits but are analyzing whether we should intervene in the lawsuits.  While we believe the lawsuits are without merit, we can not reasonably predict the outcome of either of these lawsuits.   ITEM 4.
