Item 5. Other Information. On March 10, 2022, the compensation committee (the “Committee”) of the Board of Directors of the Company approved compensation packages for each of Dr. Amit Kumar, the President, Chief Executive Officer and Chairman of the Board of Directors of the Company, and Michael Catelani, the Chief Operating Officer and Chief Financial Officer of the Company. Dr. Kumar’s base salary will be increased to $640,295 per year and he will receive a cash bonus of $200,000 and Mr. Catelani’s base salary will be increased to $384,611 per year and he will receive a cash bonus of $50,000. The cash bonuses earned by each of Dr. Kumar and Mr. Catelani are in addition to cash bonuses of $200,000 and $100,000, respectively, approved by the Committee and received by Dr. Kumar and Mr. Catelani in January 2022. In addition, Dr. Kumar and Mr. Catelani each received a stock option to purchase 500,000 shares of the Company’s common stock pursuant to the 2018 Share Plan. The stock options are exercisable at an exercise price of $2.74 per share (the closing price of the Common Stock on the Nasdaq Capital Market on March 10, 2022), have a 10 year term and vest on a monthly basis over three years beginning on March 31, 2022. If either Dr. Kumar or Mr. Catelani is terminated for any reason, the stock option will cease vesting, and they will have five (5) years to exercise the vested portion of such grant. Item 6.
