The provisions of each of our equity compensation plans provide that
shares covered by an award that is forfeited, expires or is settled in cash, and shares that are retained by us upon exercise of an award
to satisfy the exercise price of such award or withholding taxes due in respect of such award, are available for future issuance under
such plan provided the plan has not been terminated or expired. We anticipate that a portion of the option awards that have been granted
will expire or be forfeited without having been exercised and will increase the number of shares remaining for issuance under our equity
compensation plans.
