affiliate of our Sponsor has agreed, commencing from the date that our securities were first listed on Nasdaq, through the earlier of
our consummation of an initial business combination and our liquidation, to make available to us certain general and administrative services,
including office space, utilities and administrative services, as we may require from time to time. The Company has agreed to pay to
the affiliate of our Sponsor, $10,000 per month, for up to 12 months, subject to extension to up to 24 months, as provided in this report,
for such administrative services.
