Item 5. Other Information (a) In connection with his previously announced departure from Automatic Data Processing, Inc. (the “Company”) on March 31, 2025, John C. Ayala entered into a separation agreement and release (“agreement”), dated January 27, 2025. His departure constitutes a “Qualifying Termination” as defined under the Company’s Corporate Officer Severance Plan (the “Plan”) and the agreement sets forth the terms of his separation and release in accordance with the Plan. A copy of the separation agreement and release is filed as Exhibit 10.1 hereto and incorporated herein by reference.
