ITEM 2. PROPERTIES
We currently maintain our executive offices at 1050 Connecticut Ave. NW, Suite 500, Washington, D.C., 20036. Pursuant to an administrative services agreement, dated December 17, 2025, between the Company and the Sponsor (the “Administrative Services Agreement”), until the completion of our initial business combination or liquidation, we will pay a monthly fee of $10,000 to our Sponsor for secretarial and administrative services.

There is no material litigation, arbitration or governmental proceeding currently pending against us or any members of our management team.
