material adverse effect on our actual results. There have been no material changes to the Risk Factors previously disclosed in our
Annual Report on Form 10-K and our other filings with the SEC, except as follows:
A number of instruments convertible into
our common stock are either currently convertible or will become convertible in the near future. As a result of a decrease in our stock
price we will likely need to increase our authorized common stock in order to be able to meet our obligations under these convertible
instruments.
We have a number of outstanding instruments that
are either currently convertible, or will be convertible in the near future, into shares of our common stock. Due to the recent decrease
in the price of our common stock as listed on Nasdaq, we may need to increase our authorized common stock in order to meet our obligations
under these convertible instruments. If we are unable to get shareholder approval to amend our Articles of Incorporation to increase
our authorized common stock we may be breach of our obligations under these instruments, causing those instruments to accelerate and/or
making it more expensive to satisfy our obligations, which could negatively impact our business and financial results.
