Risk Management and Strategy
We are a smaller reporting company with limited personnel, no revenue during the fiscal year ended June 30, 2026, and limited financial and technical resources. Our cybersecurity risk management processes are correspondingly limited in scope and formality and are administered directly by our executive officers . We do not employ a chief information security officer and do not maintain a dedicated information security function. The description below reflects the processes actually in place as of June 30, 2026.
We operate entirely remotely. Our information technology environment consists of cloud-hosted accounting software, a cloud-based email and productivity suite, cloud file storage, and endpoint devices operated by our personnel. We do not own or operate data center infrastructure, we do not maintain internally hosted servers, and we do not store customer data on systems we manage. Substantially all of our information technology infrastructure is furnished by third-party service providers .
Our Chief Financial Officer, in consultation with our Chief Executive Officer, identifies and evaluates cybersecurity risks that could reasonably be expected to affect our systems, our data, or our ability to prepare and file accurate and timely periodic reports. This evaluation is performed in connection with our periodic reporting process and upon any material change to our systems, service providers, or operations.
We have not adopted a written incident response plan. Suspected cybersecurity incidents are escalated to our Chief Executive Officer and Chief Financial Officer. We have not engaged any assessor, consultant, auditor, or other third party in connection with our cybersecurity risk management processes . We have not implemented a formal, recurring cybersecurity training program for our personnel. We do not maintain cybersecurity insurance. Our ability to detect an incident is limited to the native capabilities of our third-party applications.
As of the date of this Annual Report, we are not aware of any risk from cybersecurity threats, including as a result of any previous cybersecurity incident, that has materially affected or is reasonably likely to materially affect the Company, including our business strategy, results of operations, or financial condition . However, in light of the detection limitations described above, no assurance can be given that an incident has not occurred or will not occur.
Governance
Our Board of Directors has overall responsibility for oversight of risks from cybersecurity threats. The Audit Committee, which currently consists of both members of the Board, oversees these matters. Management provides the Board with information regarding cybersecurity risks and suspected material cybersecurity incidents as described below.
Our Chief Financial Officer, Mr. Mark B. Lucky, is the member of management with primary responsibility for assessing and managing material risks from cybersecurity threats. In light of the Company’s limited personnel, cybersecurity responsibilities are administered by the Chief Financial Officer in consultation with the Chief Executive Officer. Material cybersecurity matters are escalated to the Board promptly after identification.
Item 2. Properties.
As of the filing of this Annual Report, our Company and its employees work 100% remotely. We rent our principal executive office from an unrelated third party on an annual basis for $564/year.
Item 3. Legal Proceedings.
We are not currently party to, and none of our property is subject to, any material pending legal proceeding. To the knowledge of management, no material legal proceeding is threatened against us or our officers or directors in their capacities as such.
