On May 14, 2021, we issued 1,280,000
shares of common stock to Lincoln Park Capital Fund LLC as consideration for its commitment to purchase shares of our common stock
under the 2021 Purchase Agreement.
On April 14, 2021, we issued 2,614,679 shares of our common stock to OyaGen,
Inc., and 137,615 shares of our common stock to Procela Partners Ltd., as partial consideration in connection with the OyaGen License
Agreement.
