There
have been no material changes to the risk factors disclosed in Part I, Item 1A, of our Quarterly Report on Form 10-Q for the period ended
June 30, 2025, other than as follows:
If
we fail to retain our key personnel or if we fail to attract additional qualified personnel, we may not be able to achieve our anticipated
level of growth and our business could suffer.
We
are dependent upon the continued availability and commitment of our key management, including our Chief Executive Officer, Chris Cooper,
and Simon Oxley, our Chief Financial Officer. The loss of any such members could negatively impact business operations. From time to
time, we will also need to identify and retain additional skilled management and specialized technical personnel to efficiently operate
the business. Recruiting and retaining qualified personnel is critical to our success and there can be no assurance of such success.
If we are not successful in attracting and retaining qualified personnel, our ability to execute our business plan and growth strategy
could be affected, which could have a material adverse impact on our profitability, results of operations and financial condition.
