Our
executive offices are located at 131 Concord Street, Brooklyn, New York, 11201, and our telephone number is 347-720-2907. We have agreed
to pay an affiliate of our sponsor a total of $10,000 per month for office space, utilities, secretarial and administrative services.
Upon completion of our initial business combination or our liquidation, we will cease paying these monthly fees. We consider our current
office space adequate for our current operations.

To
the knowledge of our management team, there is no material litigation currently pending or contemplated against us, any of our officers
or directors in their capacity as such or against any of our property.
