Our executive offices are located at 180 Grand Avenue, Suite 1530,
Oakland, California 94612, and our telephone number is 510-200-8778. The cost for our use of this space is included in the $25,000 per
month fee we pay to LMS, the sole managing member of our Sponsor, and Cadenza Ventures Management Company, LLC for certain office space,
utilities and secretarial and administrative support , pursuant to the Administrative Services
Agreements. We consider our current office space adequate for our current operations.

To the knowledge of our Management
Team, there is no material litigation currently pending or contemplated against us, any of our officers or directors in their capacity
as such, or against any of our property.
