2. PROPERTIES.
On
September 1, 2022, we entered into a membership/licensing agreement with Saltbox Inc. This agreement gives us right to our portion of
a shared office and warehouse facility in Seattle, WA. The structure of the agreement is a revocable license to access the office suite
and warehouse. The relationship between Saltbox Inc. and Jones Soda is that of a licensor and licensee only, and not a landlord-tenant
or lessor-lessee relationship. The agreement does not give right, title, interest, easement, or lien in or to Saltbox Inc’s business,
the office suite and adjacent premises, or anything contained therein. The Company provided notice on February 28 th , 2025
that it will exit the month to month agreement as it found lower cost facilities.
We
do not own any real property.
