with quoted issuers. A company traded on the over the counter market may face loss of market makers and lack of readily available
bid and ask prices for its stock and may experience a greater spread between the bid and ask price of its stock and a general loss
of liquidity with its stock. In addition, certain investors have policies against purchasing or holding over the counter market.
Both trading volume and the market value of our securities have been, and will continue to be, materially affected by the trading
on the over the counter market.

At December 31, 2021,
the Company had 13,525,838 outstanding shares of common stock and 130 shareholders of record.
Dividends
Holders of common
stock are entitled to receive dividends as may be declared by the Company’s Board. The Company’s Board is not restricted
from paying any dividends but is not obligated to declare a dividend. No dividends have ever been declared, and it is not anticipated
that dividends will be paid in the foreseeable future. Any indebtedness the Company incurs in the future may also limit its ability
to pay dividends. Investors should not purchase the Company’s common stock with the expectation of receiving cash dividends.
Recent Sales of Unregistered Securities
During the fourth
quarter of the fiscal year ended September 30, 2021, the Company issued 300,000 shares of common stock, valued at $60,000, to acquire
51% of Bricks4Schoolz, LLC. The shares were issued pursuant to the exemption from registration provided by Section 4(a)(2) of the
Securities Act of 1933.
