On June 9, 2021, the Company acquired all of the issued
and outstanding stock of FoundationTV, Inc. (“FoundationTV”). As part of the purchase price for the acquisition of FoundationTV,
the Company issued 1,483,129 shares of Class A common stock pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended.
