Item 3. Legal Proceedings From time to time, we may be party to litigation or other legal proceedings that we consider to be a part of the ordinary course of our business. We are not currently involved in any legal proceedings that could reasonably be expected to have a material adverse effect on our business, prospects, financial condition or results of operations. Since our publication of the proposed merger with Chemomab five separate complaints have been filed by putative stockholders of the Company challenging the proposed merger. In general, the complaints each allege that the Registration Statement on Form S-4 that we filed with the SEC on January 13, 2021, omitted or misrepresented material information regarding the merger. The complaints seek, among other things, injunctive relief, damages, and an award of plaintiff's costs, including attorneys’ fees and expenses. It is still too early to assess and determine the possible / probable outcome of these complaints. See note 10B for additional detail. Item 4. Mine Safety Disclosures Not applicable. 67 PART II
