Our executive offices are
located at 152 West 57th Street, 27th Floor, New York, New York and our telephone number is (212) 621-8777. The cost for our use of this space
is included in the $10,000 per month for office space, utilities and secretarial and administrative support, pursuant to the
Administrative Services Agreement. We consider our current office space adequate for our current operations.

Team, there is no material litigation currently pending or contemplated against us, any of our officers or directors in their capacity
as such, or against any of our property.
