in Part 1, Item 1 of this Quarterly Report on Form 10-Q. 

 The Farkas Group, Inc., a Florida corporation whose principal is a former
Company officer, filed a demand for arbitration with JAMS on March 29, 2024, alleging that the Company owes it commissions under a 2009
commission agreement. The Company denies that any commissions are owed. While the outcome of this matter cannot be determined at this
time, it is not currently expected to have a material adverse impact on our business.
