a Certificate of Amendment to the Company’s Articles of Incorporation with the Secretary of State of Nevada to increase the authorized
amount of common stock from 1,500,000,000 to 2,500,000,000, without changing the par value of the common stock or authorized number and
par value of “blank check” Preferred Stock.
