ITEM 4. CONTROLS AND PROCEDURES.
(a) Evaluation of Disclosure Controls and Procedures
The Company has adopted and maintains disclosure
controls and procedures (as defined Rules 13a-15(e) and 15d-15(e) under the Exchange Act) that are designed to provide reasonable assurance
that information required to be disclosed in the reports filed under the Exchange Act, such as this Quarterly Report on Form 10-Q, is
collected, recorded, processed, summarized and reported within the time periods specified in the rules of the SEC. The Company’s
disclosure controls and procedures are also designed to ensure that such information is accumulated and communicated to management to
allow timely decisions regarding required disclosure. As required under Exchange Act Rule 13a-15, the Company’s management, including
the Chief Executive Officer, who also serves as the Chief Financial Officer, after evaluating the effectiveness of our disclosure controls
and procedures as of March 31, 2021, the end of the period covered by this Quarterly Report on Form 10-Q, has concluded that based on
such evaluation, the Company’s disclosure controls and procedures are effective as of March 31, 2021 to ensure that information
required to be disclosed by the Company in the reports that the Company files or submits under the Exchange Act is recorded, processed,
summarized and reported within the time periods specified in the SEC’s rules and forms, and that such information is accumulated
and communicated to the Company’s management, including the Company’s Chief Executive Officer and Chief Financial Officer,
as appropriate, to allow timely decisions regarding required disclosure.
(b) Changes in Internal Control over Financial Reporting
There have not been any changes in our internal
controls over financial reporting during the three months ended March 31, 2021 that materially affected, or are reasonably likely to materially
affect, our internal control over financial reporting.
