Unregistered Sales of Equity Securities
On July 7, 2023, we sold an aggregate of 257,466 shares of our common stock to Redmile Biopharma Investments III, L.P. (Redmile) at a purchase price of $19.42 per share (the Private Placement). We received aggregate net proceeds from the Private Placement of $4.9 million, net of offering expenses, which we intend to use for general corporate purposes. The Private Placement was conducted in reliance on the exemption from registration provided by Section 4(a)(2) of the Securities Act.
