Evaluation of Disclosure Controls and Procedures
We maintain “disclosure controls and procedures”
within the meaning of Rule 13a-15(e) of the Exchange Act. Our disclosure controls and procedures, (“Disclosure Controls”)
are designed to ensure that information required to be disclosed by us in the reports we file or submit under the Exchange Act, such as
this Quarterly Report on Form 10-Q, is recorded, processed, summarized and reported within the time periods specified in the SEC’s
rules and forms. Our Disclosure Controls include, without limitation, controls and procedures designed to ensure that such information
is accumulated and communicated to our management, including our Chief Executive Officer and Principal Financial Officer, as appropriate
to allow timely decisions regarding required disclosure.
As of the end of the period covered by this Quarterly
Report on Form 10-Q, we evaluated the effectiveness of the design and operation of our Disclosure Controls, which was done under the supervision
and with the participation of our management, including our Chief Executive Officer and our Principal Financial Officer. Based on the
controls evaluation, our Chief Executive Officer and Principal Financial Officer have concluded that our Disclosure Controls were effective
as of March 31, 2025.
Changes in Internal Control over Financial Reporting
There have been no changes in our internal control
over financial reporting (as defined in Rule 13a-15(f) under the Exchange Act) during the most recent fiscal quarter covered by this report
that have materially affected, or are reasonably likely to materially affect, our internal control over financial reporting.
