From time to time,
the Company is subject to claims in legal proceedings arising in the ordinary course of its business, including payroll-related
and various employment-related matters. All litigation currently pending against the Company relates to matters that have arisen
in the ordinary course of business and the Company believes that such matters will not have a material adverse effect on its consolidated
financial condition, results of operations or cash flows.
