Item 5. Other Information. c) Insider Trading Arrangements Trading Plans On June 30, 2023 , Robert S. Molloy , General Counsel and Secretary , entered into a 10b5 - 1 sales plan (the “ 10b5-1 Sales Plan ”) intended to satisfy the affirmative defense of Rule 10b5 - 1 (c) under the Exchange Act. The 10b5-1 Sales Plan provides for the sale of up to 120,000 shares of common stock that are issuable upon exercise of vested stock options. The 10b5-1 Sales Plan will become effective on October 11, 2023 and will terminate on March 18, 2024 , subject to earlier termination upon the sale of all shares subject to the 10b5-1 Sales Plan or as otherwise provided in the 10b5-1 Sales Plan.
