1C. CYBERSECURITY.
We
have implemented and maintain various information security measures designed to protect against unauthorized access to or from our information
systems, including physical, electronic, and procedural safeguards. These measures include firewalls, intrusion detection and prevention
systems, regular security assessments, employee training, and incident response procedures. We also maintain cyber insurance coverage,
though this coverage may not be adequate to cover all potential losses.
Despite
our security measures, our information technology and infrastructure may be vulnerable to cyberattacks or breaches due to employee error,
malfeasance, or other disruptions. We have experienced, and expect to continue to experience, cybersecurity threats and incidents, although
to date none have had a material impact on our business or operations. As we grow and process increasing amounts of consumer data through
our e-commerce platform and retail customers’ systems, we may become a more attractive target for cyberattacks.
We
are subject to various laws and regulations relating to privacy and data security, including with respect to the collection, storage,
use, transmission, and protection of personal information and other consumer data. Our failure to comply with applicable laws and regulations,
or to protect such data, could result in enforcement actions against us, including fines, imprisonment of company officials, and public
censure, claims for damages by consumers and other affected individuals, damage to our reputation, and loss of goodwill, any of which
could have a material adverse effect on our business, financial condition, and results of operations.
