The Company has received three letters from three putative shareholders
of the Company alleging that the Registration Statement on Form F-4 filed on February 4, 2022 with the Securities and Exchange Commission
contains disclosure deficiencies and demanding that the Company's board of directors cause the dissemination of additional disclosures
in an amendment to the Registration Statement with respect to certain enumerated items.
