Rule 10b5-1 Plan and Non-Rule 10b5-1 Trading Arrangement Adoptions, Terminations, and Modifications - During the period covered by this Quarterly Report on Form 10-Q, no director or officer of the Company adopted , modified or terminated a "Rule 10b5-1 trading arrangement" or "non-Rule 10b5-1 trading arrangement," as each term is defined in Item 408(a) of Regulation S-K.
Director Resignation - On May 1, 2026, Mr. Shawn Bice notified the Company’s Board that he is resigning from service as a director of the Company, effective immediately. With the resignation, Mr. Bice also resigned from his position as the chair of the Board’s Technology Committee. Mr. Bice’s resignation was not the result of any disagreement with the Company on any matter relating to the operations, policies, or practices of the Company. Rather, Mr. Bice resigned in connection with his acceptance of a new position with another employer, which will limit his ability to continue his service on the Board.
