Evaluation of Disclosure Controls and Procedures
We maintain disclosure controls and procedures
as defined under Rules 13a-15(e) and 15d-15(e) of the Exchange Act. Our disclosure controls and procedures have been designed to provide
reasonable assurance that information required to be disclosed in our reports filed or submitted under the Exchange Act is recorded,
processed, summarized, and reported within the time periods specified in the SEC’s rules and forms. Our disclosure controls and procedures
include controls and procedures designed to provide reasonable assurance that information required to be disclosed in reports filed or
submitted under the Exchange Act is accumulated and communicated to our management, including our Chief Executive Officer (“CEO”)
and Chief Financial Officer (“CFO”), as appropriate, to allow timely decisions regarding required disclosure.
Our management, with the participation of our
CEO and CFO, evaluated the effectiveness of our disclosure controls and procedures as defined in Exchange Act Rule 13a-15(e) as of March
31, 2025. Based on that evaluation, our CEO and CFO concluded that our disclosure controls and procedures were effective at the reasonable
assurance level as of March 31, 2025.
Changes in Internal Control Over Financial
Reporting
There were no changes in our internal control
over financial reporting that occurred during the quarter ended March 31, 2025 that have materially affected, or are reasonably
likely to materially affect, our internal control over financial reporting.
The effectiveness of any system of controls and
procedures is subject to certain limitations, and, as a result, there can be no assurance our controls and procedures will detect all
errors or fraud. A control system, no matter how well conceived and operated, can provide only reasonable, not absolute, assurance that
objectives of the control system will be attained.
