Item 5. Other Information. The Company held its annual meeting of shareholders on June 1, 2022 (the “Annual Meeting”). At the Annual Meeting, the Company’s shareholders voted, as recommended by the Board, on an advisory basis, that the frequency of the shareholder vote to approve the compensation of the named executive officers should be held every year. In light of the recommendation and the result of the non-binding advisory vote, the Company currently intends to hold an advisory vote on the compensation of its named executive officers every year until the next advisory vote on the frequency of stockholder votes on executive compensation. 31 Item 6.
