Our principal place of business
is located at 6500 Trans-Canada Highway, 4th Floor, Pointe-Claire, Quebec, Canada H9R 0A5. We pay a monthly fee of $261 (Canadian), including
applicable taxes for use of the available space and services. We are not party to a lease agreement in connection with this service. Additional
office space and conference rooms are available to us on a pay-per-use basis. We believe that our existing facilities and equipment are
adequate.

We are not party to, and our
property is not the subject of, any material legal proceedings.
