Market Information Our ordinary shares and warrants trade on the Nasdaq Global Market under the symbols “RDZN” and “RDZNW,” respectively, since September 21, 2023. Holders As of March 31, 2025, there were 43 registered holders of record of our Ordinary Shares and 1 holder of record of our warrants. This does not include the number of shareholders that hold shares in “street name” through banks or broker-dealers. Dividends We have not paid any cash dividends to date. The payment of cash dividends in the future will be dependent upon our revenues and earnings, if any, capital requirements and general financial condition. The payment of any cash dividends will be within the discretion of the Board at such time. Our ability to declare dividends may also be limited by restrictive covenants pursuant to any debt financing agreements. Unregistered Sales of Equity Securities On February 10, 2025 the Company agreed to issue 45,000 Ordinary Shares to a vendor in exchange for services provided or to be provided in connection with marketing and distribution services. On April 15, 2024, the Company agreed to issue 950 Ordinary Shares per quarter to a vendor in exchange for services provided or to be provided in connection with investor relations and communications, totaling 3,800 as of this filing. The offers, sales, and issuances of the securities described above were deemed to be exempt from registration under Section 4(a)(2) of the Securities Act as a transaction by an issuer not involving a public offering. The recipients of securities in each of these transactions acquired the securities for investment only and not with a view to or for sale in connection with any distribution thereof and appropriate legends were affixed to the securities issued in these transactions.
