MARKET INFORMATION
Our common stock began trading on the NYSE American LLC under the symbol “PZG” on April 20, 2015. Prior to that time, there was no public market for our stock. We currently do not anticipate paying cash dividends for the foreseeable future.
RECENT SALE OF UNREGISTERED SECURITIES AND USE OF PROCEEDS
In April 2021, we purchased the South Sleeper Claims. A portion of the purchase price was paid by the issuance of 257,353 shares of our common stock to the sellers thereof in issuing the foregoing securities, we relied on the exemptive provisions of Section 4(a)(2) of the Securities Act.
During the year-ended June 30, 2021, we issued 362,427 shares of common stock for payment of interest accrued and owing on our outstanding 2019 Convertible Notes. Additionally, in July 2020, October 2020, January 2021 and February 2021, a total of 1,200,000 shares of common stock were issued upon the conversion of 1,200 of our outstanding 2019 Convertible Notes. In issuing the foregoing securities, we relied on the exemptive provisions of Section 4(a)(2) of the Securities Act and Rule 506 thereunder.
On October 29, 2020, we also issued 166,792 shares of common stock to Ausenco Engineering USA South Inc. in exchange for services valued at $181,458. In issuing the foregoing securities, we relied on the exemptive provisions of Section 4(a)(2) of the Securities Act.
